M. Elyse Allan, C.M.

Mrs. Allan has served as a director of Brookfield since November 2015. She is the former President and Chief Executive Officer of GE Canada Company Inc., a digital industrial company, and former Vice-President of General Electric Co. Mrs. Allan currently serves as a director of Russel Metals and as a trustee for Dartmouth Hitchcock. She recently completed her term as vice chair for Ontario Health, director of MaRS Discovery District, founding Chair of Invest Ontario and Chair of the Tuck Business School Board of Advisors at Dartmouth. Mrs. Allan is a Fellow at the C.D. Howe Institute and serves on its National Advisory Board. She has served on a number of boards for Canadian companies, associations and public policy organizations. In 2014, Mrs. Allan was appointed Member of the Order of Canada.
Ang Eng Seng
Mr. Ang has served as a director of Brookfield since February 2026. He was the Chief Investment Officer of GIC Infrastructure Investments, a member of the GIC Investment Management Committee and Chairman of the Infrastructure Investment Committee from Jan 2017 to Mar 2025. He served as GIC’s President of Europe and Head of Integrated Strategies Group for three years from 2013.
Before joining GIC in 1994, Mr. Ang was a Director of the Auditor-General's Office in Singapore. From 1996 to 2012, he served in different senior roles in China, United Kingdom and Singapore, including Head of Greater China for the GIC Special Investment Team, Head of Europe Private Equity, Global Head of Direct Investments as well as Head of the Global Infrastructure Group.
Mr. Ang holds a BA and an MA from Cambridge University, is a qualified Certified Public Accountant (CPA) and a charter holder of Chartered Financial Analyst (CFA). He is a member of several company boards, including EDC, ABPH and SGEI.
Jeffrey M. Blidner
Jeffrey Blidner has served as a director of Brookfield since May 2013. Mr. Blidner is Vice Chair of Brookfield and former Chief Executive Officer of Brookfield’s Private Funds Group. Mr. Blidner is also Chair of Brookfield Business Partners and Brookfield Renewable Partners and a director of Brookfield Property Partners and Brookfield Infrastructure Partners. Before joining Brookfield in 2000, Mr. Blidner was a senior partner at a Canadian law firm.
Jack L. Cockwell
Jack Cockwell has served as a director of Brookfield since September 1979. Mr. Cockwell is Chair of Brookfield Partners Foundation, was one of the founders of Partners Limited in 1995. Since 1968, he has been associated with Brookfield in numerous capacities, including as Chief Executive Officer. Mr. Cockwell is a Heritage Governor of the Royal Ontario Museum, Chair of the Toronto Metropolitan University Real Estate Advisory Committee and a member of its Board of Governors. He has also served on the board of Clarios International L.P. (a Brookfield affiliate) since June 2019.
Maureen Kempston Darkes, O.C., O.Ont

Maureen Kempston Darkes has served as a director of Brookfield since April 2008. Ms. Kempston Darkes is the retired Group Vice President and President, Latin America, Africa and Middle East of General Motors. She was appointed to the Government of Canada’s Science, Technology & Innovation Council in 2013. In 2000, Ms. Kempston Darkes was appointed an Officer of the Order of Canada.
Lord O’Donnell
Lord Gus O’Donnell has served as a director of Brookfield since May 2013. Lord O’Donnell is currently the Ambassador of Frontier Economics Ltd., a microeconomics consultancy, and a senior advisor to Brookfield Corporation in Europe. Lord O’Donnell is also President of the Council of the Institute for Fiscal Studies (IFS), Honorary President for Pro Bono Economics, Visiting Professor at London School of Economics and University College London, and a Trustee of the Economist. He served as the Cabinet Secretary and head of the British Civil Service between 2005 and 2011. Prior to this, Lord O’Donnell served as the Permanent Secretary of the U.K. Treasury from 2002 to 2005 and served on the International Monetary Fund and World Bank Boards. Lord O’Donnell became a member of the House of Lords in 2012 and was Chair of Public Interest Board of PwC (UK) from 2015 to 2019.
Bruce Flatt
Bruce Flatt has served as a director of Brookfield since April 2001. Mr. Flatt joined Brookfield in 1990 and became Chief Executive Officer in 2002. Mr. Flatt has been on more than 20 public company boards over the past three decades but does not currently sit on any external corporate boards.
Janice Fukakusa

Janice Fukakusa has served as a director of Brookfield since June 2020. Ms. Fukakusa, is the former Chief Administrative Officer (CAO) and Chief Financial Officer (CFO) of Royal Bank of Canada, a financial institution, where she served in various senior positions during her over 30-year tenure. She served as Chancellor of Toronto Metropolitan University between 2018 and 2024 and currently serves as a Board member. She is past Chair and Director of the Japanese Canadian Cultural Centre, The Princess Margaret Cancer Foundation and past founding Chair of Canadian Infrastructure Bank, a Crown Corporation. Ms. Fukakusa was appointed Member of the Order of Canada in 2021.
Ms. Fukakusa is a Fellow Chartered Professional Accountant, who currently serves on the audit committee of three other public companies, in addition to her service on Brookfield’s Audit Committee. Given Ms. Fukakusa’ s previous CFO and CAO experience coupled with her professional training, the Board has determined that her simultaneous service on the audit committees of three other public companies will not impair her ability to effectively serve on Brookfield’s Audit Committee and shareholders would benefit from her expertise.
Brian D. Lawson
Brian Lawson has served as a director of Brookfield since June 2018. Mr. Lawson is Vice Chair of Brookfield. On behalf of Brookfield, Mr. Lawson serves as the Chair of the board of directors of TerraForm Power, Inc., a U.S.-based solar and wind power company. Since joining Brookfield in 1988, Mr. Lawson held a number of senior management positions in the firm’s investment and finance operations including serving as Chief Financial Officer of Brookfield Asset Management from 2002 to 2020.
Howard S. Marks
Howard Marks has served as a director of Brookfield since February 2020. Mr. Marks is the Co-Chair of Oaktree Capital Management, a global alternative asset manager. Since the formation of Oaktree in 1995, Mr. Marks has been responsible for ensuring the firm’s adherence to its core investment philosophy, communicating closely with clients and corporate direction. Mr. Marks is a Trustee and member of the Investment Committee at the Metropolitan Museum of Art. He is a member of the Investment Committee of the Royal Drawing School and serves on the Shanghai International Financial Advisory Council.

Frank McKenna has served as director of Brookfield since August 2006 and Chair of its Board of Directors, since August 2010. Mr. McKenna is also Deputy Chair of TD Bank Group, a position he has held since 2006. He currently serves as Chair of the compensation committee for Canadian Natural Resources Limited’s Board of Directors.
Rafael Miranda

Rafael Miranda has served as a director of Brookfield since June 2017. Mr. Miranda is the retired Chief Executive Officer of Endesa, S.A., the largest electric utility company in Spain, where he served as Managing Director from 1987 to 1997 and as Chief Executive Officer from 1987 to 2009. Mr. Miranda is Honorary Chairman of Eurelectric, the European Electricity Association, and serves as the Chairman of the Board of Directors of Acerinox, S.A., a Spanish stainless steel manufacturing conglomerate.
Hutham S. Olayan

Ms. Olayan has served as a director of Brookfield since January 2021. Ms. Olayan is Chair of the Shareholders Board of The Olayan Group (the “Group”), a private international investor that also has commercial operations in the Middle East. She has been a director of the Group since 1981. Prior to her current role, she was Chair of the Corporate Board of the Group until 2024 and President and CEO of Olayan America and its US affiliates, until 2018, in which role she led the Group’s investment activity in the Americas for more than 30 years. Ms. Olayan serves on the board of the Peter G. Peterson Institute for International Economics and the board of Memorial Sloan Kettering Cancer Center among other private and public memberships. Ms. Olayan is Trustee Emeritus of the American University of Beirut, as well as a member of AUB’s International Advisory Council. She is also a member of the Stanford University Global Advisory Council.
Sam Pollock
Sam Pollock is currently the Chief Executive Officer of Brookfield’s Infrastructure business and Brookfield Infrastructure Partners. In this role, he is responsible for investments, operations and the expansion of the Infrastructure business. He is a member of Brookfield’s Executive Committee.
Since joining Brookfield in 1994, Mr. Pollock has held a number of senior positions across the organization, including leading Brookfield’s corporate investment group and its private equity business.
Mr. Pollock holds a Bachelor of Commerce degree from Queen's University and is a Chartered Professional Accountant.
Satish Rai
Mr. Rai previously served as a director of Brookfield Asset Management Ltd. from 2023 to 2025. Mr. Rai was formerly the Chief Investment Officer at OMERS overseeing all asset classes globally. Prior to joining OMERS in January 2015, he served as Chief Investment Officer at TD Asset Management. Mr. Rai is currently Chair of Richcraft Properties and Vice-Chair of Forum Asset Management. In addition, he serves on the Board of Fairfax India, and Second Harvest. He is a past member of the respective Boards of the University of Waterloo, Michael Garron Hospital Foundation (formerly Toronto East General Hospital Foundation), Toronto Global and Women in Capital Markets. In 2006 he received the Alumni Achievement Medal from Waterloo’s Faculty of Mathematics. Mr. Rai holds both a Bachelor of Mathematics (University of Waterloo) and a CFA and is a member of the Young Presidents’ Organization/World Presidents’ Organization.
Diana L. Taylor

Diana Taylor has served as a director of Brookfield since May 2012. Ms. Taylor worked in private equity with Wolfensohn & Co. and Solera Capital LLC. She previously served as the Superintendent of Banks for the State of New York, Deputy Secretary to the Governor of New York and Chief Financial Officer for the Long Island Power Authority. She currently sits on corporate boards, and chairs four not for profits, Accion, the New York City Ballet, Hotbread Kitchen and Friends of Hudson River Park.
